The firm was founded in Hamburg in 1982. With more than 15 lawyers rendering legal advice in all areas of practice covered by our firm, the Hamburg office remains the heart of our firm.

In late 2011 the London office was established. With two lawyers working in London permanently and continuous exchange with the Hamburg office our London office is constantly growing.

With Dr. Stefan Rindfleisch and Dr. Klaus Dimigen as lawyers admitted to the bar of the Republic of the Marshall Islands our firm can offer legal advice in particular in the context of registration of vessels and mortgages as well as corporate structuring under the laws of the Marshall Islands.

Prof. John Flym, the Senior Counsel of our firm has more than 40 years experience as legal counsel in the United States of America and is inter alia admitted to the Bar of Massachusetts and the Bar of the United States Supreme Court. For several years he has now also been admitted practise law in France.

Richard Henderson has over 20 years’ experience in advising lenders, ship owners and investors on ship finance transactions, vessel construction contracts, vessel and business sale and purchase agreements and debt restructurings. He has also advised clients extensively on shipping related commercial contracting, such as LNG project tenders, commercial contracts in the offshore industry and pooling agreements.

Richard Henderson is the author of two courses on ship finance for Lloyds Maritime Academy and an occasional lecturer on both courses. He was also one of the original authors of Euromoney’s book on shipping finance.

Short biography

Richard Henderson graduated from King’s College London and was admitted as a solicitor in 1989. Following his admittance as a solicitor Richard Henderson worked for several years with the law firms of Slaughter and May and Stephenson Harwood in London and Hong Kong, as well as spending a year in Copenhagen and Oslo with Danish and Norwegian law firms. After eleven years as a partner with Watson Farley & Williams Richard Henderson became partner with Ehlermann Rindfleisch Gadow in 2011 and established the firm’s London office.

Our speciality is maritime finance, which has been the core of our firm’s practice since its foundation almost 30 years ago. This coherent focus has enabled us to develop a special expertise in all legal aspects of the financing, sale, purchase, and registration of maritime assets – mainly ships and containers. The umbrella of legal services we provide covers all related matters in cognate areas, such as banking and corporate law, together with the requisite implementation.

Thus, when structuring acquisition financings, in addition to providing expert consultancy, we also draft the required loan and security documents.

Financing

Our focus is on giving legal advice on ship financing and acquisition. Our lawyers negotiate as well as draft loan and security contracts, usually on behalf of the financing banks.

Our consultancy on ship financing encompasses all legal issues, from lending regulations, to common banking and bank supervision law, to loan protection and insolvency rules, as well as to private international law. Our experiences with asset and related cash flow financing models enable us to advise lenders as well as borrowers.

In order to efficiently manage the particular needs of container financing, we have created a specific team among our lawyers. This team’s expertise in that discrete sector of maritime activity runs from structuring financings, to negotiation and production of legal financing documents, as well as to drafting management and leasing contracts.

Contract negotiations

Among our specialities is consultancy on all legal issues arising in contract negotiations. In effect, we guide our clients throughout the negotiation process of financing documentations, and of shipbuilding, purchasing, charter and management contracts and the amendments and terminations thereof. Our services include drafting of all legal documents, advice and support from preliminary stages to the final instruments.

Registrations

We also guide our clients through the process of ship registration, in Germany and abroad. We have abundant experience in all legal aspects of registering ships and ship mortgages with all ships registers.

As “Special Agents” of the Republic of the Marshall Islands, three of the firm’s partners are authorized to act on the ships registry’s behalf in connection with the registration and documentation of vessels. For instance, we provide for the recording of ship mortgage instruments, the authentication and verification of marine documents and certificates, and of course the timely technical support. Two of our partners, Dr. Stefan Rindfleisch and Dr. Klaus Dimigen, are also registered lawyers of the Marshall Islands and can give legal opinion on Marshall Islands law.

When needed, our global network of cooperating law offices provides us with additional resources and access to local information.

Restructuring

In the field of ship and container financing, our lawyers also advise on matters relating to the restructuring and reorganising of existing financing transactions where there is a need to adapt to changing market conditions. Based on the outcome of an assessment and an evaluation of the existing financing documentation, our focus in this respect is on the development of sustainable restructuring models in cooperation with the contracting parties and the implementation thereof within the scope of the financing documentation.

Forced sale

In cases of forced sale and auction of ships, whether in Germany or abroad, we provide the needed legal services, either directly or through our international network of cooperating law firms abroad with local expertise in this field.

Corporate law

We provide consultancy in national and international corporate law. We advise clients on the acquisition of companies related to the shipping industry and have the legal expertise required for the creation of initiators for closed-end funds (emission houses) and the issuing of ship finance funds.
Further, we are very experienced in the incorporation of companies and the foundation of partnerships, whether in Germany or abroad.

Not least, the reorganization of corporate structures is one of our areas of practice.

Secondary markets

We are active in the area of secondary markets for maritime fund participation: With respect to the purchase of existing ship participations, we not only provide legal advice, but also structure and draft financing documents.
